Terms of Service

Effective and last updated September 16, 2026

These Terms of Service ("Terms") are a contract between you and Vivu Inc. Please read them carefully. Section 5 explains how Premium renews and how to cancel it. Section 16 explains how disputes are handled.

1.Who we are and accepting these Terms

1.1 Vivu Inc. ("Vivu", "we", "us", "our") is a company based in Seattle, Washington, USA. You can reach us at hello@vivu.ai. For help with your account, email support@vivu.ai.

1.2 You accept these Terms when you create an account, click a button saying you agree, or use the Services. Our Privacy Policy explains how we handle personal information, so please read it too. If you do not agree to these Terms, do not use the Services.

1.3 If you use the Services for a company or other organization, you confirm that you are authorized to accept these Terms on its behalf. In that case, "you" means both you and that organization.

1.4 You must be at least 18 years old to use the Services.

1.5 If you and Vivu have signed a separate written agreement that covers the Services, that agreement controls where it conflicts with these Terms.

2.The Services

2.1 "Services" means:

  • our website at https://vivu.ai;
  • the Vivu web app at https://app.vivu.ai;
  • the Vivu remote MCP connector at https://mcp.vivu.ai/mcp, which lets AI assistants you connect act on your Vivu account (see Section 9); and
  • the support, documentation and emails that go with them.

2.2 In the app, you upload video files from your device to a Vivu project, and we index them in Vivu's cloud. We analyse each video: what is said, what is on screen, text that appears on screen, who is speaking, and when each of these happens. You can then search your videos in plain language, in Fast or Precise mode. Each result is a time range from your videos, with the evidence behind it, that you can open and preview.

2.3 We may add, change or remove features. If we remove a feature that is a material part of a paid plan, we will tell you in advance.

2.4 Some features may be labelled beta, preview or experimental. They may change or be withdrawn at any time, and we make no commitment about their availability.

3.Your account

3.1 You need an account to use the app. You can sign up with a Google account, or with an email address and a password of at least 8 characters. If you sign up with email, you must verify your email address. Sign-in is handled by Google Firebase Authentication.

3.2 Give us accurate information and keep it up to date.

3.3 Keep your login details secure and do not share them. You are responsible for everything that happens under your account, including actions taken by AI assistants or other tools you connect to it. If you think someone has used your account without permission, email support@vivu.ai right away.

3.4 Do not create accounts by automated means, and do not open extra accounts to get around plan limits.

4.Organization workspaces and project visibility

4.1 An account can belong to an organization workspace.

4.2 Every project is either an organization project or a private project. An organization project, and the videos in it, can be seen by other members of the same organization workspace. A private project is not shown to other members of the workspace.

4.3 You choose the visibility when you create a project. Before you add videos to an organization project, make sure everyone in the workspace is allowed to see them.

5.Plans, billing and renewal

5.1 Plans. We offer a Free plan and a Premium plan. The Free plan includes 20 indexing minutes and 50 search credits each month, and a personal workspace. The Premium plan costs US$30 per month, and each billing cycle includes 180 indexing minutes, 500 search credits and expanded workspace capacity. Current plans and prices are shown at https://vivu.ai/pricing and in the app. The plan details and price shown when you buy are the ones that apply to your purchase.

5.2 More usage. We do not offer a team or enterprise plan. If your organization needs more than Premium includes, contact us at hello@vivu.ai or https://vivu.ai/contact. Any custom arrangement requires a separate written agreement.

5.3 Payment. Payments are processed by a third-party payment processor, and by paying you also accept that processor's terms. You authorize us, through the processor, to charge your payment method for Premium and any applicable taxes.

5.4 Automatic renewal. Premium is a subscription that renews automatically every month. Until you cancel, we will charge the monthly price, currently US$30, to your payment method at the start of each new billing cycle.

5.5 How to cancel. You can cancel at any time: sign in at https://app.vivu.ai, open Profile, and manage your plan there. After you cancel, your subscription will not renew and you will not be charged again.

5.6 Price changes. If we change the Premium price, we will tell you before the new price applies to you, and you can cancel before then.

5.7 Usage limits. Indexing a video uses as many indexing minutes as the video is long, and each video uses them only once. Running a search uses search credits: a Fast search uses 1 credit, and a Precise search uses 5 credits in total. If you do not have enough indexing minutes left for a video, the app lets you index only as many minutes of it as you have left, or you can wait for your next billing cycle or upgrade.

5.8 Upgrades. You can upgrade from Free to Premium from Profile in the web app.

5.9 Refunds. Nothing in these Terms limits any refund right you have under applicable law. For billing questions, email support@vivu.ai.

5.10 Failed payments. If a payment fails, we may retry it and may move your account to the Free plan or pause Premium features until payment succeeds.

5.11 Fair use. Even within your plan limits, we may slow down or limit use that puts the Services or other users at risk, such as unusually heavy automated traffic. Where practical, we will contact you first.

6.Your content

6.1 "Your Content" means the videos you upload, the names and details you give your projects and videos, your search queries, and anything else you submit to the Services. "Outputs" means what the Services generate for you from Your Content, such as indexes, transcripts, on-screen text, speaker labels, timestamps, search results and previews.

6.2 As between you and Vivu, you own Your Content. You may use Outputs for your own purposes, subject to these Terms and to the rights of others. Vivu owns the Services, including our software and models, the way we build indexes, and improvements to the Services that do not contain Your Content.

6.3 You give Vivu a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, analyse, index and display Your Content and Outputs, only as needed to provide, secure, maintain and support the Services for you and to comply with the law. The service providers that help us run the Services (listed in our Privacy Policy) may use them under this licence for the same limited purposes. The licence ends when Your Content is deleted from our systems.

6.4 Your promises about Your Content. You confirm that:

  • you own Your Content, or have all the rights and permissions needed to upload it and let us process it as these Terms describe;
  • you have given every notice and obtained every consent, release or permission that the law requires from the people who appear in, speak in or are named in your videos, including for recording them, analysing what they say and identifying who is speaking; and
  • Your Content, and your use of the Services with it, does not break any law or infringe anyone's rights, including copyright, privacy, publicity and employment rights.

6.5 Deleting content. Your videos and the data derived from them, such as indexes, stay in your account until you delete the video or the project that holds them, or until your account is closed (see Section 12). You can permanently delete a video or a whole project in the app, or by asking an AI assistant connected through MCP to do it. Deletion cannot be undone. Deleting a video removes its media from Vivu's cloud, and deleting a project does the same for every video in the project. Vivu is not a backup service, so keep your own copies of the videos you upload.

6.6 We do not review Your Content before we process it. We may remove content or restrict access to it if we reasonably believe it breaks these Terms or the law, or if the law requires us to.

6.7 Feedback. If you send us ideas or suggestions about the Services, we may use them without any obligation to you.

7.Acceptable use

7.1 You must not use the Services to:

  • upload, store or search content that is illegal, or that you do not have the rights or consents to use;
  • upload content that sexually exploits or endangers children (we will report such content as the law requires);
  • infringe anyone's copyright, trademark, privacy or publicity rights;
  • secretly record, monitor, track or profile people, or identify people in videos, in a way that breaks privacy, surveillance, biometric, employment or other laws, or without the notices and consents those laws require;
  • make decisions that have legal or similarly significant effects on a person, such as decisions about employment, housing, credit, insurance or education, based only on Outputs and without human review;
  • harass, threaten, defame or discriminate against anyone; or
  • upload malware or any code meant to harm the Services or other users.

7.2 You must not:

  • get around or break our security, authentication, rate limits, usage limits or access controls, or probe or scan the Services for vulnerabilities without our written permission;
  • access, or try to access, other users' accounts, projects or content without permission;
  • scrape, crawl or copy data from the Services by automated means, except through the interfaces we provide for that purpose, such as the MCP server used as documented;
  • reverse engineer, decompile or disassemble the Services, or try to extract our source code or models, except where the law expressly allows it;
  • resell, sublicense or rent the Services, or give third parties access to them, without our written permission;
  • use the Services to build or train a competing product;
  • interfere with or overload the Services, or disrupt other users' use of them; or
  • help anyone else do any of these things.

7.3 To report a security issue, email hello@vivu.ai.

8.AI output

Outputs are generated automatically by AI systems, and they can be wrong or incomplete. A transcript can mishear a word. A speaker label can name the wrong person. A timestamp can be off. A search can miss moments that are in your videos, or return moments that do not match what you asked for.

Check Outputs against the original video before you rely on them, and especially before you publish them or use them for legal, medical, financial, safety or employment decisions. You are responsible for how you use Outputs.

9.AI assistants and other third-party services

9.1 You can connect an AI assistant that supports the Model Context Protocol (MCP), such as Claude, to your Vivu account through our remote connector at https://mcp.vivu.ai/mcp. In Claude, open Settings → Connectors → Discover and search for "Vivu". You can also add it there as a custom connector with that URL. You sign in to Vivu and approve the connection through OAuth.

9.2 Once connected, the assistant can do the following when you ask it to: list your projects and videos, create projects, get an upload page, run searches and fetch their results, and permanently delete videos or projects.

9.3 The assistant acts on your instructions. We treat requests that reach us with your authorization as coming from you. AI assistants can misunderstand instructions, so check what the assistant is about to do before you approve it, especially a deletion. To the extent the law allows, Vivu is not responsible for actions an assistant takes with your authorization.

9.4 The assistant is provided by a third party, and your use of it is governed by that provider's own terms and privacy policy. Information we send to the assistant, such as project names, video titles, search results and links, is then handled by that provider and not by Vivu. Links to result pages expire after four hours, and a sign-in link for uploading must be opened within three minutes.

9.5 You can disconnect an assistant at any time in the assistant's settings.

9.6 The Services also rely on other third-party services, such as Google sign-in, our payment processor, and Calendly for booking demos. Those services have their own terms, and Vivu is not responsible for them. Links to third-party websites are provided for convenience only.

10.Our rights

Vivu and its licensors own the Services, including the software, the design, and the Vivu name and logo. Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable right to access and use the Services in line with these Terms. We keep all rights we do not expressly give you.

11.Copyright complaints

11.1 If you believe that content stored in the Services infringes your copyright, send a written notice to hello@vivu.ai.

11.2 Your notice must include the information required by 17 U.S.C. § 512(c)(3), including: your physical or electronic signature; identification of the copyrighted work; identification of the material you say is infringing, with enough detail for us to find it; your contact details; a statement that you believe in good faith the use is not authorized by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner.

11.3 If your content was removed after a notice and you believe that was a mistake, you can send a counter-notice under 17 U.S.C. § 512(g). Where appropriate, we will close the accounts of users who repeatedly infringe.

12.Suspension and termination

12.1 You can stop using the Services at any time. Cancelling Premium does not delete your account or your videos. To ask us to close your account and delete its data, email support@vivu.ai from the email address on your account.

12.2 We may suspend or end your access to all or part of the Services if you seriously or repeatedly break these Terms, if your use creates a security or legal risk for Vivu or others, if the law requires it, or if your payment fails. Where practical and lawful, we will tell you first and give you a chance to fix the problem.

12.3 We may stop offering the Services, or a plan. If we do, we will tell you in advance.

12.4 When your account ends, your right to use the Services ends, and we delete Your Content as described in our Privacy Policy.

12.5 Sections 6.2, 6.7, 8, 10, 13, 14, 15, 16 and 18 continue to apply after your account ends, and so does any obligation to pay amounts you already owe.

13.Disclaimers

13.1 The Services and Outputs are provided "as is" and "as available". To the fullest extent the law allows, Vivu, its affiliates, and its and their licensors and service providers disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from course of dealing or usage of trade.

13.2 We do not promise that the Services will meet your needs, or will be uninterrupted, secure or error-free, or that Outputs will be accurate or complete.

13.3 Some jurisdictions do not allow these disclaimers, so some of them may not apply to you.

14.Limitation of liability

14.1 To the fullest extent the law allows, Vivu and its affiliates, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to these Terms or the Services, even if we were told such damages were possible.

14.2 To the fullest extent the law allows, Vivu's total liability for all claims arising out of or related to these Terms or the Services is limited to the amount you actually paid Vivu for the Services, or US$100 if you have not paid Vivu anything.

14.3 These limits apply whatever the legal theory of the claim, and even if a limited remedy fails of its essential purpose. They do not apply to liability that the law does not allow us to limit. Some jurisdictions do not allow these limits, so they may not fully apply to you.

15.Indemnity

To the extent the law allows, you will defend, indemnify and hold harmless Vivu and its affiliates, officers, employees and agents against any third-party claim, and the related losses, damages, costs and reasonable legal fees, arising from: Your Content, including claims by people who appear in your videos; your use of the Services in breach of these Terms; or your breach of any law or of anyone else's rights. We will tell you about any such claim. You may not settle a claim in a way that imposes an obligation on Vivu without our written consent.

16.Governing law and disputes

16.1 Talk to us first. If you have a dispute with Vivu, email hello@vivu.ai, describe the problem and tell us what you want. We will both try to resolve it informally before either of us starts formal proceedings.

16.2 Governing law. These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.3 Consumers in the EU and UK. If you live in the European Union or the United Kingdom, you also benefit from the mandatory consumer protection laws of your country of residence, and nothing in these Terms takes those rights away.

16.4 Export controls and sanctions. You confirm that you are not located in a country subject to a US government embargo and that you are not on any US government list of prohibited or restricted parties. You will not use or export the Services in breach of US export control or sanctions laws.

17.Changes to these Terms

We may update these Terms from time to time. If a change is material, we will make reasonable efforts to tell you by email or in the app at least 30 days before it takes effect. Changes needed for legal reasons may take effect sooner. The "Last updated" date at the top shows when these Terms last changed. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and cancel any subscription before the change takes effect. Changes to the Premium price follow Section 5.6.

18.General

18.1 Entire agreement. These Terms, the Privacy Policy and the plan details shown at purchase are the whole agreement between you and Vivu about the Services.

18.2 Severability and waiver. If a court finds any part of these Terms unenforceable, that part will be enforced as far as the law allows and the rest of these Terms stays in effect. If we do not enforce a right, we have not given it up.

18.3 Assignment. You may not transfer these Terms to anyone else without our written consent. We may transfer them to an affiliate, or as part of a merger, acquisition or sale of assets.

18.4 Events outside our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as outages at our hosting or cloud providers, internet failures, natural disasters or government action.

18.5 Relationship. These Terms do not create a partnership, joint venture, employment or agency relationship between you and Vivu.

18.6 Notices. We may send you notices at the email address on your account. You can send notices to us at hello@vivu.ai.

18.7 Language. If we provide a translation of these Terms, the English version controls.

18.8 California users. Under California Civil Code § 1789.3, California users can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
